1. Introduction
These Terms and Conditions govern your use of the AdTwin website and any marketing services purchased from AdTwin. By using this website or accepting a proposal, quotation, invoice or service agreement, you agree to these terms together with any project-specific written agreement.
If a signed service agreement conflicts with these website terms, the signed agreement will apply to the relevant service.
2. Services
AdTwin provides digital marketing services that may include AEO, SEO, Google Ads, Meta marketing, paid advertising, AI optimization, digital strategy and related services.
The exact scope, deliverables, fees, schedule, revision limits and responsibilities will be stated in the applicable proposal, quotation or agreement. Work outside the agreed scope may require additional fees and time.
3. Client Responsibilities
The client agrees to:
- Provide accurate information, content, approvals and access on time
- Ensure it has the rights and permissions required for all supplied materials
- Review deliverables and provide consolidated feedback within agreed timelines
- Comply with advertising-platform rules and applicable laws
- Maintain sufficient advertising-platform funds where media spend is required
- Avoid making unlawful, misleading or unsupported claims
Delays in access, content, feedback or approval may change the delivery schedule and campaign performance.
4. Fees and Payment
Fees, payment dates and accepted methods will be stated in the relevant proposal, invoice or agreement. Unless stated otherwise:
- Fees are quoted in [AED / AGREED CURRENCY]
- Applicable taxes are charged as required by law
- Invoices must be paid by the stated due date
- Work may begin only after the required advance payment is received
- AdTwin may pause work or campaigns when an invoice is overdue
The client remains responsible for approved third-party expenses, including advertising spend, software, hosting, domains, stock assets and platform fees, unless expressly included in writing.
5. Advertising Budgets
Media spend paid to Google, Meta or another advertising platform is separate from AdTwin's management fees unless expressly stated otherwise. Platform charges are generally paid directly by the client and are subject to the platform's own terms, billing rules and refund policies.
AdTwin is not responsible for platform suspensions, rejected advertisements, billing errors, account restrictions or policy changes outside our reasonable control. We will provide reasonable assistance where those matters relate to our work.
6. Approvals and Revisions
The client is responsible for reviewing and approving advertisements, content, targeting, budgets and deliverables when approval is requested. Approval confirms acceptance of the submitted item.
Revision limits are defined in the relevant proposal. Additional revisions, changed instructions or new deliverables may be quoted separately.
7. Performance Disclaimer
AdTwin will perform agreed services with reasonable skill and care. However, marketing performance depends on factors outside our control, including competition, market demand, platform algorithms, media budget, website performance, pricing, sales follow-up and customer behavior.
We do not guarantee specific search rankings, impressions, leads, sales, revenue, return on advertising spend or AI-platform visibility unless a specific guarantee is expressly included in a signed agreement.
8. Intellectual Property
The client retains ownership of materials it supplies. The client grants AdTwin permission to use those materials solely as necessary to provide the services.
Upon full payment, ownership or usage rights for final approved deliverables will transfer as stated in the applicable agreement. AdTwin retains ownership of its pre-existing methods, templates, internal tools, know-how and reusable systems.
Third-party assets, fonts, software and stock materials remain subject to their respective licences.
Unless the client requests confidentiality in writing, AdTwin may identify the client and display non-confidential completed work in its portfolio and marketing materials.
9. Confidentiality
Each party will take reasonable steps to protect confidential business information received from the other party and will use it only for the agreed purpose, except where disclosure is authorized or required by law.
10. Cancellation
Either party may cancel ongoing services according to the notice period stated in the service agreement. If no notice period is stated, the client should provide at least 30 days' written notice for recurring services.
The client must pay for all completed work, work in progress, committed resources and approved third-party costs up to the effective cancellation date.
AdTwin may suspend or terminate services for material breach, non-payment, unlawful activity, abusive conduct or instructions that create legal, ethical or platform-policy risks.
11. Refund Policy
Because AdTwin provides professional services and reserves team time, payments are generally non-refundable once work has started.
Refund requests will be considered as follows:
- Before work starts: A refund may be approved, less any non-recoverable payment, administrative or third-party charges.
- After work starts: Completed work, time used, committed resources and third-party costs are non-refundable. Any approved refund will be limited to the unused portion of prepaid service fees.
- Completed or approved deliverables: No refund is available for completed, delivered or approved work.
- Recurring services: Cancellation stops future renewal after the applicable notice period. Fees for the current service period are not refundable unless the agreement states otherwise.
- Advertising spend and third-party fees: Payments made to advertising platforms, software providers or other third parties are governed by those providers and cannot be refunded by AdTwin.
- Client delay or change of mind: Refunds are not available where delivery is prevented by missing client information, access, feedback or approval, or where the client changes direction after work begins.
To request a refund, email [BILLING EMAIL] with the client name, invoice number and reason for the request. Eligible requests should be submitted within 7 calendar days of the relevant payment or issue. If approved, the refund will be returned through the original payment method where reasonably possible. Bank, payment-provider and currency-conversion charges may be deducted where permitted.
Nothing in this policy limits any mandatory right or remedy available under applicable UAE law.
12. Website Use
You may use this website only for lawful purposes. You must not attempt to damage, disrupt, copy, misuse or gain unauthorized access to the website, its systems or its content.
Website information is provided for general information and may be updated without notice. It does not constitute a binding service offer unless confirmed in writing.
13. Limitation of Liability
To the extent permitted by applicable law, AdTwin will not be liable for indirect, incidental, special or consequential loss, including lost profits, lost opportunities, lost data or reputational harm.
AdTwin's total liability arising from a specific service will not exceed the fees paid to AdTwin for that service during the three months immediately preceding the event giving rise to the claim, except where liability cannot lawfully be limited.
14. Force Majeure
Neither party will be responsible for delay or failure caused by events beyond its reasonable control, including internet or platform outages, cyber incidents, government action, natural events, labour disruption or failure of third-party services.
15. Indemnity
To the extent permitted by law, the client will be responsible for claims, losses or costs arising from unlawful or unauthorized materials, claims, products, services or instructions supplied by the client.
16. Changes to These Terms
We may update these terms to reflect changes in our services, operations or legal obligations. Updated terms will appear on this page with a revised date. Changes will not alter an existing signed service agreement unless agreed by the parties or required by law.
17. Governing Law and Disputes
These terms are governed by the applicable laws of the United Arab Emirates and the Emirate of Dubai. Subject to any mandatory dispute process or different written agreement, the courts of Dubai will have jurisdiction.
The parties should first attempt to resolve any dispute through good-faith written discussions.
